What you need, and what comes after

The paperwork before, and the obligations after.

To form a UK limited company you need at least one director aged 16 or over (no UK residency required), at least one shareholder (a person or a company), a registered office address in the UK, details of People with Significant Control (PSC), a unique company name and SIC codes describing what the company does. Overseas founders also complete identity verification, which we run remotely.

Formation is the start of a legal calendar, not the end of one. Miss a date and penalties are automatic, which is why every formation client leaves with their first-year calendar already tracked by us.

Registered office, included

A compliant UK address for Companies House and HMRC mail, with scanning and forwarding, so your home address stays private.

Confirmation statement

Due at least once every 12 months. Late or missing statements can lead to the company being struck off.

First annual accounts

Due 21 months after incorporation, then 9 months after each year-end. Late filing penalties start at £150 and double on repeat.

Corporation tax

Register within 3 months of starting to trade; pay 9 months and 1 day after year-end; file the CT600 within 12 months.

VAT and PAYE

VAT registration required at £90,000 turnover (voluntary earlier when it pays); PAYE before your first employee, including you as director.

Introductions to the UK banks and e-money providers that accept new companies and non-resident directors, with the paperwork prepared.

Can I form a UK company from India or anywhere overseas?

Yes. There is no UK residency requirement for directors or shareholders. Identity verification happens remotely, and we provide the registered office. Most overseas-founder formations complete in 48 hours.

Limited company or sole trader?

A company protects your personal assets, often saves tax above roughly £30,000 profit, and looks stronger to customers, but carries filing obligations. We will tell you honestly if sole trader suits you better today.

What are SIC codes and do they matter?

Standard Industrial Classification codes describe your activity to Companies House. The wrong ones confuse banks and insurers; we pick the right ones with you at formation.

Can I use my home address?

You can, but it becomes public on the register forever. Our registered office service keeps your home address private for a few pounds a month.

What is a PSC?

A Person with Significant Control: broadly anyone holding over 25% of shares or voting rights. PSCs must be declared at formation and kept current; we handle both.

What does the whole first year cost?

Formation from £149 one-off. Ongoing compliance, accounts, corporation tax, confirmation statement, is quoted as one fixed monthly fee from £99, agreed before you commit.
